Agreement

Terms of Service

These Terms govern your access to and use of Core Grid AI’s website, products, and Software‑With‑a‑Service (SWaS) offerings (the "Services"). By using the Services, you accept these Terms.

1) Accounts & Eligibility

You must be at least 18 and authorized to bind your organization.
Provide accurate information and keep credentials secure.
We may require identity/KYC verification for fraud prevention and processor compliance.

2) SWaS Scope

Our Services combine software, AI agents, and expert operations. Specific deliverables, KPIs, and platform access are set out in your order form or statement of work (SOW). We may leverage third‑party platforms (ads, CRM, communications, payments) you authorize.

3) Acceptable Use

No unlawful, deceptive, harassing, or infringing content.
No abuse of platforms (spam, spoofing, cloaking, fake reviews, prohibited targeting).
No exploitation of vulnerabilities or attempts to bypass security.
Prohibited businesses follow ad networks and processor policies. We may decline high‑risk categories.

4) Data Protection

Privacy is governed by our Privacy Policy. Where we process personal data on your behalf, our DPA applies. You are responsible for obtaining required consents and notices to your end‑users. Do not transmit payment card data to us; card data is handled by PCI‑DSS certified processors only.

5) Fees, Billing & Taxes

Fees are due in advance unless otherwise stated. Media spend (ad budgets) is billed separately and is non‑refundable once spent.
Late payments may incur a 1.5% monthly service charge or the maximum allowed by law.
You are responsible for all applicable taxes, except our income taxes.

6) Term, Renewal & Cancellation

Unless stated otherwise, subscriptions are month‑to‑month and renew automatically.
You may cancel with 30 days’ written notice prior to renewal. Cancellation stops future renewals; it does not retroactively refund past charges.
Either party may terminate for material breach after 14 days’ notice and opportunity to cure.

7) Refunds & Credits

See our Refund Policy. We may offer service credits for SLA breaches as specified in your order form; ad spend and third‑party fees are excluded.

8) Intellectual Property

We retain all rights to our software, models, prompts, processes, and know‑how.
You retain rights to your data, trademarks, and pre‑existing content.
Deliverables produced for you (e.g., ad creatives, playbooks) are licensed for your internal business use unless otherwise stated in the SOW.

9) Confidentiality

Each party will protect the other’s confidential information with at least reasonable care and use it only for the purposes of the engagement. Exceptions apply for information that is public, independently developed, or legally required to be disclosed.

10) Warranties & Disclaimers

We provide the Services using reasonable skill and care. Complex systems like ad platforms and AI involve variables beyond our control; we do not guarantee specific outcomes.
Except as expressly stated, the Services are provided “as is” and “as available.”

11) Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or lost profits.
Our total aggregate liability under these Terms is limited to the fees you paid to us in the 3 months preceding the claim.

12) Indemnity

You will indemnify us against claims arising from your content, unlawful data processing instructions, or breach of these Terms.
We will indemnify you against claims alleging that our proprietary software (as provided) infringes a third‑party IP right, subject to customary exclusions.

13) Compliance & Audits

You agree to comply with applicable advertising, privacy, and communications laws.
We may log and monitor usage for security, quality, and compliance. Reasonable cooperation for audits by processors or regulators may be required.

14) Dispute Resolution

Good‑faith negotiation period: 30 days after written notice of a dispute.
Governing law: England & Wales. Exclusive jurisdiction: the courts of England & Wales.

15) Changes to Terms

We may update these Terms from time to time. If changes are material, we will provide notice and update this page. Continued use after updates constitutes acceptance.

Billing

Refund Policy

Our Software‑With‑a‑Service model blends software, AI agents, and expert operations. Because we reserve team capacity and incur third‑party costs, we set clear refund rules that align with payment processor requirements while staying fair to clients.

1) General Principles

All subscription fees are billed in advance and cover access to software features, managed operations, and support for the billing period.
Media/ad spend and third‑party platform fees are non‑refundable once incurred.
We do not offer performance‑based refunds (e.g., specific ROAS or revenue outcomes).

2) Cancellations

Month‑to‑month plans: cancel anytime with 30 days’ written notice prior to the next billing date to avoid renewal.
Term commitments (if any): early termination fees may apply as specified in your order form/SOW.

3) Eligible Refunds

Duplicate charges or accidental overbilling caused by us: 100% refunded for the erroneous amount.
Service not delivered (e.g., onboarding never initiated within 14 days of payment) and you choose to cancel: prorated refund or full refund at our discretion.
Fraudulent payment claims: handled per processor guidance and evidence.

4) Service Credits (SLA)

If we miss a documented SLA (e.g., response time or uptime commitments in your order form), we may issue account credits to be applied to future invoices. Credits are not cash and cannot be redeemed if the account is closed.

5) How to Request a Refund

Email support@coregrid.site within 30 days of the charge with your invoice number and details.
We will confirm receipt within 2 business days and investigate within 10 business days.
If approved, refunds are issued to the original payment method. Bank processing times may vary.

6) Chargebacks

Please contact us first to resolve any billing issues. Unfounded chargebacks may result in service suspension and processor‑imposed fees.
We provide detailed records (SOW, invoices, delivery proofs, communications) to processors to resolve disputes fairly.

7) Trials & Promotions

Any free trials or promotional credits are subject to stated terms and may convert to paid plans unless cancelled before the end of the trial.
